1.1. The term "Provider" refers to the company responsible for distributing and managing HQ Picture digital frames and associated services.

1.2. These general terms and conditions of sale (“Terms”) apply exclusively between the Provider and the Buyer. Any conflicting terms or exceptions presented by the Buyer are invalid unless formally approved in writing by the Provider.

1.3. Use of the HQ Picture mobile application constitutes agreement to its separate terms of use, which apply in addition to these Terms.

1.4. The term “Buyer” refers to any individual, business, or entity that purchases an HQ Picture digital frame from the Provider.

1.5. “HQ Picture Frame” refers to the digital art frame and its components, designed to display artwork using paper-like e-ink technology. Frames are available in multiple formats and are operated via the companion mobile app.

1.6. “Order” refers to any remote purchase made by a Buyer on the Provider’s website involving frames, subscriptions, or digital artworks.

1.7. “Delivery” includes both physical shipment of frames and accessories to the Buyer, and digital transfer of artwork to the Buyer’s private digital collection.

1.8. “Website” refers to the official online store operated by the Provider.

1.9. “Work(s)” means digital art files available for display on HQ Picture frames via the mobile application, offered through free, paid, or limited-edition catalogs.

1.10. “Application” refers to the HQ Picture mobile app, available for iOS and Android devices, which allows users to operate their frames and manage their art collections.

1.11. “Free Subscription” refers to access to a rotating catalog of 10 to 20 curated artworks included with each frame purchase.

1.12. “Paid Subscription” refers to a premium membership granting full access to an expanded, regularly updated artwork catalog in exchange for a monthly fee.

1.13. “Limited Edition(s)” are individually numbered digital artworks created by professional artists, available in restricted quantities (e.g., #1 to #300) for separate purchase, each accompanied by a digital certificate of authenticity.

2.1. Placing an order with the Provider implies full and unconditional acceptance of these Terms by the Buyer. They form a binding agreement and are made available prior to purchase on the Provider’s website.

2.2. In case of translation discrepancies, the original version of the Terms shall prevail.

2.3. These Terms must be read together with the separate user terms governing use of the Application.

3.1. Product pricing on the website or app is inclusive of applicable taxes unless otherwise noted.

3.2. Shipping and payment costs are detailed separately at checkout.

3.3. The Buyer is presented with a summary of their order, including product specifications, total price, delivery timeline, and applicable fees, before purchase confirmation.

3.4. Ownership and risk transfer only after full payment unless explicitly agreed otherwise.

3.5. Delivery is made to the address provided by the Buyer unless stated otherwise.

3.6. In case of unpaid invoices, late payment penalties may apply automatically.

3.7. Late payments are subject to a flat penalty of 15% (minimum $25), plus any applicable damages.

4.1. Frame specifications are presented as accurately as possible via technical sheets and visual materials. Product images are illustrative and non-binding. The Provider is not liable for unintentional discrepancies.

5.1. Purchases made on business premises are final and not eligible for cancellation.

5.2. Consumers purchasing remotely (as defined by applicable law) may cancel their order within 14 calendar days of delivery without penalty, unless the product is customized. A standardized withdrawal form must be submitted, and all items returned in perfect, original condition within that period. Return shipping costs are the responsibility of the Buyer. Refunds are issued within 14 days of receiving returned goods, assuming compliance with return terms.

6.1. Frames are designed exclusively for use with the official HQ Picture app. Unauthorized modifications or alternate use is prohibited.

6.2. Buying a frame or artwork does not grant any copyright or intellectual property rights unless explicitly stated.

6.3. Legal action may be taken against infringement or misuse of protected content.

7.1. Frames and accessories are covered by a 1-year warranty against manufacturing defects. Defects must be reported within one month of delivery.

7.2. Consumer Buyers may receive a 2-year warranty, subject to applicable consumer protection laws.

7.3. The warranty excludes damage caused by misuse, accidents, moisture, unauthorized software, or failure to follow user instructions.

8.1. The Provider is not liable for misuse, negligence, or any consequences from improper operation, including possible medical device interference.

8.2. The Provider is not responsible for delays or non-fulfillment due to events beyond its control (e.g., natural disasters, strikes, transport issues, legal restrictions). In such cases, no compensation will be owed.

9.1. If any part of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full effect. Any invalid clause will be replaced by a lawful alternative with equivalent intent.

10.1. These Terms and any related transactions are governed by the laws of the Provider's operating country.

10.2. In the event of a legal dispute, jurisdiction lies with the competent courts of the Provider’s principal legal seat.

11.1. The Provider is responsible for personal data collected via its Website and Application during the course of order processing and customer support.

11.2. Data is not shared with third parties except technical service providers (e.g., hosting, payment processing). Data is used for order management, support, marketing (with consent), and operational purposes.

11.3. Buyers may request access, correction, deletion, limitation of processing, or data portability at any time. Marketing consent can be withdrawn freely. Complaints may be submitted to the appropriate Data Protection Authority. Data is retained only as long as necessary for legal or operational requirements.

11.4. By completing a purchase or registering, Buyers consent to the use and processing of their personal information in accordance with this policy.
